Direct pass is scoring well above minimum qualification marks and grace marks is lower to direct pass marks where you are given extra grace marks such that you cross minimum marks. 

Generally out of 100marks,  40 is direct pass marks and 32 is minimum marks for getring grace.

There is no drawback as such however some companies in placements may not consider such candidates although itsvery rare.
