Accept and Freeze simply means Accept the seat, and do not participate in next round and also you will have to pay the seat acceptance fees.
So, you will not be able to participate in next round of counseling. If you will not freeze any seat then you can participate in next round.

Well, Freeze option in upsee means : Candidates acknowledge the offered situate and show that they are content with the assigned scholastic program and that they would prefer not to partake in additional rounds of seat allotment.

So, you won't be allowed in further counselling...
