You can have a seat in second round also. If you will go with upgradation in first round. 

You have to do a new choice filing for colleges you want to have. You just have to choose the college which have cut off around your marks and rank.

If you have upgraded your seat of 1st round by reporting at the alloted college then you can appear for second round counselling without any worries as you have reserved your 1st round alloted seat by doing this.
You just have to fill fresh choices for second round counselling and there is no need to register again for 2nd round counselling.
It is possible that you might get a good college in 2nd round.
