The upgrade option means that if in case you are allocated a better college in the second round then your seat will be updated.

You will get the seat of that better college in place of your recent seat.

In a way it is a good option to claim better medical or dental seat.

Upgrade seat option gives you chance to fill better choices that you think you might get in further rounds of counselling.
Suppose you appear for first round of counselling, you get a seat alloted according to your marks and category, Now you have following options-
1. You accept the seat and join the college alloted to you in first round of counselling then you donot need to appear for further rounds of counselling.
2. You are not happy with the seat that you got and want to get a better seat in further rounds of counselling. Then you go for upgrade seat which means "better seat than your previously alloted seat". You fill choices of higher(better) colleges in next round.
By doing the upgrade option, you save your previously allotes seat and fill choices for better seat. In further rounds of counselling, if you donot get the better seat then you can go for previously allotes seat.
