It seems that you're talking about the counseling process during admissions but you haven't specified the name of the university or college about which you want the answer  as every University or college has different rules for the counseling procedure. As you asked, "if I opt for upgrade, whether my previous seat will be retained"? Right?

So, the answer is " NO ". This is same with every counselling procedure of any University or college. Suppose, you register for counselling procedure and by God's grace, you got a seat in a college. If you're satisfied with this college, then you're supposed to freeze the seat. But, if you felt that you can get a better seat in a better College with your rank, then you're supposed to opt for upgrade option. In this, you'll be eligible for further rounds of counselling but if you got a seat in the next rounds, then you'll lose your previous seat. However, if you don't get a seat in the next rounds, then your previous will be retained.

As far as the matter of payment is concerned, you need to tell me the name of the University or college as every college has it's sets of rules and regulations.
