If i get a seat in round 3 of comedk counselling (considering I'd opted accept & upgrade in the previous rounds and I'm in General Merit), will i be able to cancel the seat alotted and exit from counselling?

Sorry, but you can't do that. If you opted for "accept & upgrade" in the previous round, it means you are obligated to join the allotted college. If you are allotted in round 3, you have to get admission to this college. It's mandatory for you to get admission to this college.
